Terms of Service

Nexya operates a marketplace and communication platform that enables competitive exam aspirants and students to discover, schedule, and connect with independent experts (such as IITians, AIIMS students, and certified mentors) for 1-on-1 voice guidance sessions.

• Independent Expert Status: Experts are independent third parties and are not employees, agents, or direct representatives of SyncLearn NewSolutions LLP. Advice provided during calls represents the expert's personal perspective.

• No Academic or Career Guarantees: Nexya facilitates peer-to-peer mentoring and guidance. Nexya does not guarantee exam ranks, university admissions, scholarships, or employment outcomes.

• Per-Minute Billing: Audio sessions are billed on a strictly per-minute basis from your prepaid wallet balance based on the verified per-minute rate displayed on the expert's profile.

• Eligibility: You must be at least 18 years of age or possess legal parental/guardian consent if between the ages of 13 and 18 to create an account.

• Accuracy: You must provide true, accurate, and current information during registration, including your mobile number and target exam preferences.

• Account Security: You are responsible for safeguarding your login credentials (passwords, OTPs). Any activity conducted through your authenticated account is your legal responsibility.

• Non-Transferability: Accounts cannot be transferred, sold, or shared with third parties without our prior written consent.

• Prepaid Wallet Model: To initiate an audio guidance session, users must maintain sufficient balance in their Nexya in-app wallet.

• Transparent Deductions: Your wallet is debited strictly for the actual duration of the connected call, calculated down to the second at the expert's posted rate.

• No Mandatory Subscriptions: Nexya operates without forced lock-in contracts or mandatory monthly package renewals. You top up what you need and pay only for the time you use.

• Wallet Balance Validity: Prepaid wallet credits remain valid for use on the Platform as long as your account remains active.

• Refund Policy: If a call fails to connect due to technical failure on our platform, or drops prematurely due to server connectivity disruption, the disputed deduction will be investigated and credited back to your Nexya wallet. Payments made for completed calls where advice was rendered are generally non-refundable.

• Taxation: Rates displayed may be subject to applicable Goods and Services Tax (GST) under Indian taxation laws.

You agree not to use the Platform for any unlawful, abusive, or prohibited activity, including but not limited to:

• Harassing, abusing, threatening, or impersonating any student, expert, or staff member.

• Recording, storing, broadcasting, or redistributing audio sessions without explicit written consent from all participating parties.

• Soliciting off-platform direct payments, personal banking details, or attempting to circumvent Nexya's billing infrastructure.

• Sharing exam malpractice materials, leaked question papers, or infringing third-party intellectual property.

• Transmitting malicious code, viruses, automated bots, or attempting unauthorized access to Nexya's server architecture.

• Mutual Respect: Conversations must remain professional, constructive, and respectful at all times.

• Credential Integrity: Experts must accurately represent their academic credentials, ranks, and qualifications. Falsification of IIT, AIIMS, or other educational credentials results in immediate termination and potential legal recourse.

• Zero Tolerance: Nexya enforces a zero-tolerance policy against hate speech, vulgarity, sexual harassment, or discrimination on the basis of gender, caste, religion, or background.

All trademarks, brand names, software code, logos, visual designs, UI graphics, and proprietary matching algorithms associated with Nexya are the exclusive intellectual property of SYNCLEARN NEWSOLUTIONS LLP.

Users are granted a limited, revocable, non-exclusive license to access and use the Platform for personal, non-commercial educational purposes.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. SYNCLEARN NEWSOLUTIONS LLP disclaims all warranties regarding continuous uninterrupted service, expert advice efficacy, or fitness for a particular academic goal.

To the maximum extent permitted under applicable law, SYNCLEARN NEWSOLUTIONS LLP, its partners, officers, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages arising from the use of or inability to use the Platform.

Our total aggregate liability for any claim arising under these Terms shall not exceed the actual amount paid by you to Nexya in the three (3) months preceding the incident.

You may close your account at any time by contacting our support team.

SyncLearn NewSolutions LLP reserves the right to suspend, terminate, or restrict access to any account without prior notice if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or compromised the security or decorum of other users.

These Terms are governed by and construed in accordance with the Laws of India.

Any legal suit, action, or proceeding arising out of or related to these Terms, the Platform, or services offered by SYNCLEARN NEWSOLUTIONS LLP shall be subject to the exclusive jurisdiction of the Competent courts of Uttar Pradesh, India.
